Work Location: Toronto, Ontario, Canada Hours: 37.5 Line of Business: Legal Pay Details: $165,000 - $210,000 CAD The pay details posted reflect a temporary market premium specific to this role that is reassessed annually. Job Description: Department Overview The Senior Counsel, Wealth Legal, will be a member of the Canadian Wealth Distribution Legal Team located in Toronto. The Canadian Wealth Distribution Legal Team provides legal advice and counsel to TD’s Canadian wealth businesses, as well as TD's Canadian retail mutual fund business. This role will focus primarily on legal and regulatory matters relating to registered plans in Canadian retail investment and mutual fund dealer businesses, the sale of bank products through those businesses, and other legal and regulatory matters affecting TD’s wealth distribution businesses. Job Overview In this role, you will join a dynamic and collegial team of legal professionals and support a broad range of business, product, regulatory, and client-related initiatives. You will work closely with business, compliance, risk, operations, marketing, product, tax, and other legal partners, and will provide practical, risk-based legal advice to support TD’s wealth distribution businesses. Your practice will support TD's Canadian retail investment and mutual fund dealer businesses with a particular focus on registered plans and related products and services. Key Responsibilities In this role, you will: provide day-to-day legal and regulatory advice to Canadian retail investment and mutual fund dealer businesses on registered plan matters and the sale of bank products through those businesses advise on compliance with the Income Tax Act and related rules applicable to registered plans monitor, interpret, and help implement changes in legislation, regulatory guidance, and industry developments affecting registered plans maintain and update specimen plans, trust agreements, declarations, and related documentation to help ensure compliance with legal and regulatory requirements support the design, enhancement, modification, and administration of registered plans review and advise on disclosure documents, client agreements, forms, and other customer-facing materials relating to registered plans review and approve marketing materials relating to registered plans ensure registered plans are aligned with legal requirements, regulatory expectations, and industry best practices advise on a broad range of registered plan issues, including: transfers beneficiary designations locked-in requirements plan administration questions advise on CIRO rules, regulatory developments, policy initiatives, examinations, and inquiries affecting wealth distribution businesses support the resolution of client complaints, escalated issues, and regulatory inquiries related to registered plans work closely with business, control functions, and other members of TD Legal to provide coordinated, practical, and timely legal support build and maintain strong working relationships with internal business and control partners support strategic initiatives and change projects affecting the Canadian retail investment and mutual fund dealer businesses contribute to high-priority legal department initiatives as needed Job Requirements law degree from an accredited law school qualified to practice law in Ontario 6+ years post-call legal experience, ideally gained at a major law firm, financial institution, wealth firm, in-house legal department, or regulator strong experience advising on legal and regulatory issues relating to registered plans, CIRO-regulated dealer businesses, wealth products, and financial services distribution strong knowledge of: The Securities Act CIRO rules the Bank Act the Trust and Loan Companies Act the Income Tax Act as it relates to registered plans applicable federal and provincial pension legislation strong understanding of the legal and regulatory framework applicable to registered plans and their administration experience reviewing and advising on: client-facing documentation disclosures account forms marketing materials product features and processes strong analytical, drafting, and communication skills, with the ability to provide clear, practical advice to business and control partners strong judgment and the ability to identify legal, regulatory, and reputational risk in a practical business context ability to manage multiple priorities and deadlines while maintaining attention to detail strong interpersonal skills and the ability to work effectively across a wide range of stakeholders ability to work independently and as part of a team high level of professionalism, accountability, and responsiveness Preferred Experience The ideal candidate will have: deep knowledge of the rules and industry practice applicable to registered plans experience supporting retail wealth businesses, securities dealers, or financial institutions experience advising on legal issues affecting both investment products and bank products experience with regulatory change management, legal implementation work, and CIRO-related regulatory matters experience handling client issue escalation or regulator-facing matters relating to registered accounts Who We Are: TD is one of the world's leading global financial institutions and is the fifth largest bank in North America by branches/stores.
