TVO is an agency of the Ontario Ministry of Education. Through our brands, TVO Kids, TVO Today, TVO ILC and TVO Learn, we provide multi-platform educational programming; ground-breaking original documentaries; in-depth public affairs content; the largest online secondary school in Ontario; and award-winning digital-learning resources that support Ontario’s curriculum.

The Opportunity

This position reports to the Director, Legal Services and Business Affairs, and is responsible for drafting and negotiating coproduction commissioned and other non-program contracts, as well as handling the entire contracting process in timely fashion and in compliance with legal standards and practices, as well as TVO and other funding agencies’ policies and procedures, in order to obtain best value for dollars spent for TVO. This role will implement current departmental rights strategy, track co-production rights, and support other departments in pursuing the corporate rights pursuit strategy.

How you will make an impact

  • Negotiates and contracts co-production, co-production development and re-clearance agreements for both broadcast and additional rights for Broadcast and Digital Media including, license fees, rights and terms, in consultation with the Director, Legal Services and Business Affairs when business and legal advice is required.
  • Evaluates the deal terms, facts, historical data of producer and its production deals with TVO and determines from the notes/requisitions from Education and Media to draft initial contractual documents from precedents for Education and Media and Director, Legal Services and Business Affairs. Such contractual documents include letters of interest, commitment/deal letters, development letters, long form agreements, amending letters, long form amendments, producer custom letter, delivery confirmation, and any funding related documents in compliance with TVO and funding agencies’ policies and procedures.
  • Reviews and ensures that financing structures are acceptable to TVO and follow funding agency guidelines and policies, particularly those of CMF, and other funding agencies etc.
  • Follows up and verifies both with producers and Education and Media for all program deliverables, including incorporation documents, evidence of financing, production plans and schedules, insurance certification, music cue sheet, Cancon Certificates.
  • Review and make recommendations on non-TVO issued contracts, assignment & direction agreements and any related contractual documents.
  • Works with Director, Legal Services and Business Affairs on any unprecedented contracts and contract language.
  • Responsible for ensuring all co-production and related contracts are fully executed in a timely fashion and in compliance with funding agency deadlines.
  • Provides updated project status to creative heads, business management, production managers, production related personnel, Director, Legal Services and Business Affairs and producers.
  • Attend weekly programming meetings with Media to provide status on ongoing projects.
  • Inputs and maintains data in Content Management System (CMS) for rights management, including rights terms, payments, and all deliverables, and obtains approvals from Education and Media.
  • Creates and maintains Business Affairs contract files.
  • Creates and maintains contract precedent on-line file sharing system, with legal counsel oversight.
  • Monitor CMF envelope cash flow, make recommendations and provide reports to Digital Education and CAD and Director, Legal Services and Business Affairs.
  • Liaises with CMF to verify CMF queries from producers and Education and Media for CMF funded projects.
  • Provides the Director, Legal Services and Business Affairs with various contractual analysis and reports.
  • Handles contractual enquiries externally from outside producers, funding agencies, and internally from Programming.

What you will bring to TVO

  • A college or university degree in Media, Communications, Broadcasting, or a related field.
  • Three to five years of progressive experience in media acquisitions, co-production, content distribution, broadcasting, or a related field.
  • Strong knowledge of media rights, licensing, copyright, and content acquisition practices.
  • Experience negotiating pricing, rights agreements, profit-sharing arrangements, and other legally binding contracts.
  • Knowledge of Canadian media funding programs and industry frameworks; experience with Canadian Media Fund (CMF) programs, guidelines, and application processes is considered a strong asset.
  • Excellent written communication skills, with the ability to review, draft, and edit correspondence, reports, policies, contracts, and other business documents.
  • Strong analytical skills and attention to detail when working with financial information, contract terms, rights documentation, and other complex materials.
  • Sound judgment and the ability to independently manage competing priorities, solve problems, and make recommendations within established policies and procedures.
  • Proven ability to build productive relationships and collaborate effectively with internal stakeholders and external partners.
  • Confidence navigating complex negotiations and resolving sensitive or contentious issues with professionalism, tact, and diplomacy.
  • A high degree of discretion and integrity when handling confidential, commercially sensitive, and strategic information.
  • Strong organizational and project management skills, with the ability to manage multiple deadlines in a fast-paced environment.
  • Experience working with rights management, asset management, or content management systems, with the ability to quickly learn and work within TVO’s internal rights and asset management systems.
  •  A passion for Canadian media, educational content, and public service broadcasting, with a commitment to supporting TVO’s content and co-production initiatives.
