The Law Clerk will conduct due diligence, perform title searches, and draft critical closing documents for commercial real estate and banking transactions. They will also act as a liaison between lawyers and external parties to ensure the effective progression of legal files.
Our firm is seeking an experienced Real Estate & Banking Law Clerk to join our team, supporting our commercial real estate and banking & financial services practices. We are looking for a dedicated professional who has at least three years of experience in a similar role. What you will be doing: * Conduct due diligence activities, including ordering, reviewing, and reporting on searches related to Personal Property Security Act (PPSA), liens, and other corporate matters. * Draft critical documents such as closing agendas, loan documents, officer’s certificates, resolutions, and other closing deliverables under lawyer supervision. * Handle the preparation and registration of PPSA liens across relevant jurisdictions and maintain detailed transaction record books. * Preparing transaction documents including closing/security documents and Teraview registrations. * Address and respond to title requisition letters. * Perform title and off-title searches, preparing concise summaries of findings. * Attending to closings. * Act as a liaison between lawyers and internal/external parties, facilitating effective communication on file progression and related matters. Qualifications: * Law Clerk diploma from an accredited college or completion of the Institute of Law Clerks of Ontario Certification. * At least three (3) years of experience in a similar role. * Proficiency in Teraview and familiarity with Microsoft Office Suite, including Excel, Outlook, and Word. * Excellent communication skills with a keen attention to detail and grammar. * Independent worker with the ability to also perform in team settings. * Upholds a high level of professionalism and maintains confidentiality in all matters.
